Arnold P. Kling

Inc. (also known as Twin Lakes Inc.) and has been its President and Treasurer since January 8, 2004. He has been the President and Chief Executive Officer of Mattmar Minerals Inc. since May 2008. He serves as Principal Executive Officer and President of various funds in the fund complex of Rodman funds. He has been President of Rodman International Enterprise III Ltd since July 2006. He has been the President of 24Holdings, Inc. since November 5, 2005, its Treasurer since November 21, 2005 and also serves as its Chief Executive Officer. He serves as the Manager of Niobe Ventures, LLC, a Delaware limited liability company. He serves as the Managing Director of GH Venture Partners, LLC. He has been the President of Newtown Lane Marketing Incorporated since August 20, 2007 and serves as its Principal Executive Officer. He served as the President of various portfolios of R&R Acquisition IV, Inc., since November 5, 2005. He served as the Chief Executive Officer of various portfolios of R&R Acquisition Viii, Inc. since June 8, 2006. He served as the President and Chief Executive Officer at R&R Acquisition II, Inc. since November 5, 2005. He served as President of R&R Acquisition VI, since August 2007 and serves as its Principal Executive Officer. He served as Secretary of Mattmar Minerals Inc. from May 2008 to September 2008. He served as the Managing Director and General Counsel of GH Venture Partners, LLC from 1995 to 1999. He served as the President of Global Employment Holdings, Inc. since November 5, 2005 and served as its Chief Executive Officer. He served as the President of Global Employment Solutions, Inc. (also known as Enthrust Financial Services, Inc.) since November 5, 2005 and served as its Chief Executive Officer. From 1999 to August 2005, he served as the President of Adelphia Holdings, LLC., where he helped implement the investment activities for its partners, as well as advising clients with respect to capital expansion, strategic alliances and mergers. From 1993 to 1995, he served as an Executive Vice President and General Counsel of Buckeye Communications, Inc., and practiced corporate law as a Partner at Newman, Tannenbaum, Helpern, Syracuse & Hirschtritt in New York. From 1990 to 1993, he served as an Associate and was Partner in the corporate and financial services department of Tannenbaum, Helpern, Syracuse & Hirschtritt LLP. At Tannenbaum, Helpern, Mr. Kling had a diversified corporate practice where he specialized in private and public capital formation for both domestic and foreign companies as well as investment companies and funds, corporate acquisitions and divestures. He also advised numerous public and private boards in the entertainment, communications, and financial services industries. He has been a Director of Protalex Inc, since November 11, 2009, Newtown Lane Marketing Incorporated since August 20, 2007 and Twin Lakes Inc. since January 8, 2004. He has been a Director of Mattmar Minerals Inc. since May 2008 and Rodman International Enterprise III Ltd since July 2006, and serves as Director of Rodman International Enterprise I and II Ltd. He has been a Director of 24Holdings Inc., since September 30, 2005 and R&R Acquisition Viii, Inc. since August 2007. He has been a Director of R&R Acquisition IX, Inc. since June 8, 2006 and R&R Acquisition X, Inc. since August 2007. He has been a Director of R&R Acquisition VII Inc since August 2007. He serves as a Director of various funds in the fund complex of Rodman funds. He has been a Director of R&r Acquisition IV, Inc. since November 5, 2005. He serves as a Director of R&R Acquisition III, Inc., and R&R Acquisition V, Inc. He served as a Director of R&R Acquisition VI Inc since August 2007. He served as a Director at Enthrust Financial Services, Inc. since November 5, 2005. He served as a Director of ADMA Biologics, Inc. He served as a Director of Rodman & Renshaw Capital Group, Inc. until July 22, 2007. He served as a Director of Global Employment Holdings, Inc. and R&R Acquisition II, Inc. since November 5, 2005. He served as a Director of Entrust Financial Services, Inc. since August, 2005. He aslso served as a Director of Direct Markets Holdings Corp. Mr. Kling holds a Bachelor of Science degree from New York University in International Business in 1980 and a Juris Doctor degree from Benjamin Cardozo School of Law in 1983.
